Terms & Conditions of Use

These Terms & Conditions of Use ("Terms") govern access to and use of the digital platforms and services operated by Knowledge Bridge Consulting Inc., including affiliated applications such as @School, ReSet, and @Clinic (collectively, the “Platform”).

By selecting “I Agree,” logging in, or using the Platform in any way, you ("User") agree to be legally bound by these Terms. If you do not agree, do not access or use the Platform.

License to Use
KBC Inc. and its affiliates (the "Company") grant the User a limited, non-exclusive, non-transferable, revocable license to use the Platform strictly for internal, authorized purposes related to your work or engagement with the Company.
You may not:
  1. Copy, reverse-engineer, decompile, disassemble, or attempt to discover the Platform’s source code
  2. Use any portion of the Platform to build, train, improve, or inform the design of any competing or similar product, service, or system
  3. Share, resell, sublicense, or commercially exploit the Platform or any derived outputs
  4. Remove proprietary notices, branding, or disclosures from any part of the Platform

Confidentiality and Non-Disclosure
All business, operational, technical, or personal data accessed via the Platform is considered Confidential Information. By using the Platform, User agrees to the following Non-Disclosure terms, regardless of whether a separate NDA has been signed:
  1. Protection: You will protect all Confidential Information with the same care you use to protect your own sensitive data, and no less than reasonable care
  2. Use Limitation: You may only use Confidential Information for purposes directly related to your authorized use of the Platform
  3. Non-Disclosure: You may not share or disclose Confidential Information to any third party without prior written consent from the Company, except to authorized personnel under your control who are bound by equivalent confidentiality obligations
    You are expressly prohibited from using Confidential Information, including system architecture, workflows, prompts, user behavior data, or business logic, to develop, support, or advise on any competing service, software, or commercial product.

Data Privacy and Security
Data Responsibility: Users are responsible for ensuring all data entered into the Platform—such as personally identifiable information (PII), protected health information (PHI), and student records—complies with applicable laws (e.g., FERPA, HIPAA, CCPA, GDPR).
Safeguards: You must implement reasonable technical and organizational security measures to protect data accessed or entered through the Platform.
Incident Notification: You must notify the Company at legal@kbcinc.cloud within 48 hours of becoming aware of any suspected or confirmed data breach.

Acceptable Use
Users shall not:
  1. Upload or transmit illegal, harmful, abusive, or obscene content
  2. Attempt to gain unauthorized access to the Platform or its infrastructure
  3. Use automation, bots, scrapers, or data mining tools without written consent
  4. Misrepresent your identity or affiliation with any organization or institution

Intellectual Property
The Platform and all associated content, design, tools, algorithms, and intellectual property are the exclusive property of the Company and its licensors. Nothing in these Terms grants you ownership or any intellectual property rights beyond the limited license outlined above.

Feedback
Any feedback, suggestions, or ideas you submit may be used freely by the Company for any purpose. You waive all claims to compensation or ownership.

Termination
We may suspend or terminate your access at any time if you violate these Terms. Upon termination, you must immediately stop using the Platform and permanently delete all copies of Confidential Information unless otherwise required by law.

Warranty Disclaimer
The Platform is provided “as is” and “as available” without any warranties, express or implied. This includes but is not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uptime, error-free operation, or data accuracy.

Limitation of Liability
To the fullest extent permitted by law, the Company is not liable for indirect, incidental, special, or consequential damages, or for any loss of profits, data, or goodwill arising out of use of the Platform. Total liability, if any, is limited to the greater of (a) $100 or (b) the total fees paid by you to the Company in the twelve months prior to the claim.

Indemnification
You agree to indemnify and hold harmless the Company and its affiliates from any losses, claims, or expenses (including legal fees) resulting from your:
  1. Breach of these Terms
  2. Unauthorized use of the Platform
  3. Violation of any law or third-party rights

Compliance with Laws
You are solely responsible for ensuring that your use of the Platform complies with all applicable local, state, federal, and international laws and regulations.

Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Delaware. Any disputes shall be resolved in the state or federal courts located in New Castle County, Delaware. You consent to personal jurisdiction in those courts.

Changes to Terms
We may revise these Terms at any time. Any updates will be posted on the Platform. Continued use after changes are posted constitutes your acceptance of the updated Terms.

Entire Agreement
These Terms, along with any separately executed NDA, represent the entire agreement between you and the Company regarding use of the Platform. If any part of these Terms is deemed unenforceable, the rest shall remain in effect.
